Welcome to Karizo. These Terms of Service ("Terms") govern your access to and use of the Karizo music streaming service, including our website, mobile applications, and any other related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Please read these Terms carefully, as they contain important information about your legal rights, remedies, and obligations. By using the Service, you agree to these Terms and our Privacy Policy.

2. Eligibility

Karizo operates on a pay-per-play model, where users pay for each song they listen to. By using the Service, you agree to:

• Pay the specified amount for each song you play
• Maintain a valid payment method on file
• Accept that all payments are final and non-refundable, except as required by law
• Acknowledge that pricing may change at any time with reasonable notice

5. User Content

The Service allows you to create playlists, post comments, and interact with other users. You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant Karizo a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the rights of any third party
• Your User Content complies with these Terms and all applicable laws

6. Artist Content

For artists who upload content to Karizo ("Artist Content"), you retain ownership of your Artist Content. By uploading Artist Content, you grant Karizo:

• A worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your Artist Content on the Service
• The right to collect and distribute payments for plays of your Artist Content according to our payment terms
• The right to use your name, likeness, and biographical information for promotional purposes

As an artist, you represent and warrant that:

• You own or have the necessary rights to your Artist Content
• Your Artist Content does not violate the rights of any third party
• Your Artist Content complies with these Terms and all applicable laws

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Violating any laws or regulations
• Infringing on the intellectual property rights of others
• Uploading or transmitting viruses, malware, or other malicious code
• Attempting to access, tamper with, or use non-public areas of the Service
• Interfering with or disrupting the Service or servers connected to the Service
• Creating multiple accounts for abusive purposes
• Using the Service for any illegal or unauthorized purpose
• Harassing, threatening, or intimidating other users
• Impersonating any person or entity
• Using automated means to access or use the Service without our permission

8. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Karizo and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9. DMCA Copyright Policy

We respect the intellectual property rights of others and expect our users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KARIZO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

13. Indemnification

You agree to defend, indemnify, and hold harmless Karizo, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the federal or state courts located in the United States, and you consent to the personal jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
